This Rental Agreement (hereinafter referred to as the "Agreement") is entered into between One World Soccer (hereinafter referred to as the "Lessor") and ISL (hereinafter referred to as the "Lessee") collectively referred to as the "Parties", effective as of [Effective Date].

Rental Items. The Lessor agrees to rent to the Lessee and the Lessee agrees to rent from the Lessor, the following portable lights (hereinafter referred to as the "Rental Items"):

Rental Period. The Rental Items shall be rented by the Lessee for the following start date (hereinafter referred to as the "Rental Period"):

Rental contract will continue monthly until contract is terminated outlined under section
Rental Fee. In consideration for the rental of the Rental Items, the Lessee agrees to pay the Lessor the following rental fee (hereinafter referred to as the "Rental Fee"):
Amount: $1,500 per month
Payment Terms. Payment to be made by check payable monthly on the first day of each month.

Delivery and Return of Rental Items. a. Delivery: The Lessor shall deliver the Rental Items to the designated location specified by the Lessee on or before the start date of the Rental Period. The Lessee shall be responsible for any applicable delivery charges. b. Return: The Lessee shall return the Rental Items to the Lessor at the end of the Rental Period in the same condition as they were received, normal wear and tear excepted. The Lessee shall be responsible for any applicable return shipping charges.
Use of Rental Items
a. The Lessee shall use the Rental Items solely for the purpose of illuminating fields for soccer matches and training sessions
b. The Lessee shall ensure that the Rental Items are used in a careful and proper manner, and in accordance with any operating instructions or guidelines provided by the Lessor.
c. The Lessee shall not make any alterations, modifications, or repairs to the Rental Items without the prior written consent of the Lessor.
Maintenance and Repairs. a. The Lessor shall be responsible for ensuring that the Rental Items are in good working condition at the time of delivery. b. The Lessee shall promptly notify the Lessor of any malfunction, damage, or need for repairs to the Rental Items during the Rental Period. c. The Lessee shall not attempt to repair or modify the Rental Items without the prior written consent of the Lessor, except for minor repairs or maintenance that can be safely performed by the Lessee.
Liability and Insurance. a. The Lessee shall be responsible for any loss, theft, damage, or destruction of the Rental Items during the Rental Period, except for normal wear and tear. b. The Lessee shall indemnify and hold the Lessor harmless from any claims, liabilities, damages, or expenses arising out of or in connection with the Lessee's use of the Rental Items. c. The Lessee is strongly advised to obtain appropriate insurance coverage to protect against any potential loss or damage to the Rental Items during the Rental Period.
Termination. Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of any provision of this Agreement by the other party. In such cases, the non-breaching party shall be entitled to pursue any remedies available under applicable law.
Termination for Convenience. Either party may terminate this agreement for convenience by providing 60 days written notice.
Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the state of Texas. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Texas

Entire Agreement This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.

IN WITNESS WHEREOF, the Parties have executed this Rental Agreement as of the Effective Date.
